DIVISION:

As a member of the Legal Division of the group holding company (Euroclear SA) and in particular as a member of the Euroclear Bank (EB) Legal Team, you will provide legal support to EB in the Legal Banking and Collateral Management Team.

Your main responsibilities will be to provide legal advice and support on a wide range of matters, including on

  • Legal issues related to the operations of and services provided by EB, focusing on banking (credit and treasury) and finance matters as well as EB collateral management services;

  • Certain Euroclear Group projects (projects are internationally orientated and can relate to liquidity and credit management, collateral management, debt issuance, new banking products, etc.);

  • Regulatory matters (regulatory analysis in particular regarding BRRD, CRD/CRR, CSDR, MiFID/MiFIR, Belgian Banking Act, MAR), that impact and relate to operations of and services provided by EB.

ROLE:

Tasks include

  • Advising (internal) clients and management on the legal framework (focusing on banking and finance regulations) in and outside Europe;

  • Prepare regulatory impact analysis on practical use cases;

  • Drafting and negotiating contracts with counterparts and clients (credit documentation, GMRA, ISDA, collateral management contracts, pledge agreements, etc.);

  • Documenting the services offered by EB (collateral management, securities lending and borrowing etc);

  • Providing assistance and legal support for new services of EB and new projects of the Euroclear Group;

  • Cooperating with the lawyers of the Legal Division within all entities of the Euroclear Group;

  • Participating in the legal trainings (risk awareness) of relevant staff/departments.


TECHNICAL SKILLS:

We are looking for a European qualified lawyer

  • With at least 5 years of relevant experience;

  • Experience in the capital market gained in an in-house legal division of a bank, broker or other financial institution or in a law firm is a plus;

  • Highly motivated and interested in the capital market and banking sector;

  • Knowledge of market practices in the financial world and experience in compliance related matters are a plus;

  • Fluent in English;

  • Fluent in French, Dutch or German is a plus.

  • Excellent communication and ability to integrate a Team;

  • Excellent interpersonal skills in order to effectively interact with business partners, risk partners and outside counsels;

  • Excellent drafting skills in English;

  • Meticulous and analytic;

  • Pragmatic, risk aware and capable to take initiatives;

  • Flexible and proactive;

  • Able to deliver high quality support consistent across jurisdictions, in a timely, pragmatic, cost efficient and effective fashion, and to build a solid understanding of the business of the Euroclear Group;

  • Obtaining approval of others with good arguments, appropriate influencing methods and a certain “natural authority” (persuasion);

  • Acting with consideration of the dynamics in the organization (organizational sensitivity);

  • Examining matters from a distance and putting them in a broader context and time perspective (vision).
