DESCRIPTION:

As part of the Legal, Governance and Regulatory divisions, the Corporate Governance team has the responsibility for the Group’s corporate governance. As such it is working in close collaboration with the different company’s decision making bodies and ensures that the corporate governance framework for the company is properly designed, implemented and maintained in line with the regulatory framework, Strategy and Purpose of the Group.

It is supporting the Managing Bodies and Committees on all governance matters. This includes amongst other elements developing and implementing processes to promote and sustain good corporate governance, organizing and recording accurate decision-making at Management Committee, Board, Board Committees and General Assembly level and advising the Board/Management in the execution of their roles, as well as handling various corporate housekeeping and legal vehicle management.

The Corporate Governance team is keen to contribute to the establishment and maintaining of Good Governance principles and practices.

The Corporate Governance team is multi-cultural and will welcome you with open arms. There is a flexible working arrangement within Euroclear, and you will be able to work from home several days a week.

YOUR ROLE:

You will be providing essential administrative and secretarial support to the Corporate Governance team and the non-executive directors. This will involve direct face-to-face interaction with Board members and Senior Management.

Your key responsibility will be to:

  • Manage proactively all the administrative arrangements for Shareholders, Board, Board Committee and Management meetings;

  • Providing all necessary support for one or more of the following staekholders: board members, company secretarries (e.g. book international travels, follow up on expenses in line with Euroclear travel policies, handle travel documents, etc.);

  • Handle various administrative tasks:



  1. Receiving and screening telephone calls, letters, and/or visitors, answering routine questions and furnishing information to save supervisor's time;

  2. Preparing routine letters and memoranda;

  3. Preparing special reports, gathering & summarizing data;

  4. Preparing complex correspondence, reports, and presentations;

  5. Maintaining corporate records.



  • Use an array of business software applications (e.g., Microsoft 365 suite);

  • Finalising in a timely manner Board documents, and Management documents, including checking of format and lay-out;

  • Assembling and posting Board and Committee packs to members by way of the Diligent Board application;

  • Assisting in other administrative work related to Board meetings, Director’s training, and with corporate, regulatory and governance obligations.


QUALIFICATIONS:

Essential

  • A bachelor or master's degree and at least 5 years' of experience as an Assistant of senior managers;

  • Knowledge in Microsoft 365 (SharePoint, Outlook, Word, Excel, and PowerPoint, etc.);

  • Very efficient organizational skills, and the ability to work independently in a multifaceted environment on multiple tasks and under tight deadlines; know how to prioritize;

  • Excellent communication skills in English. Ability to transmit information clearly and transparently.

  • Able to provide minimal technical support for setting up hybrid meetings;

  • Pro-active and flexible, you can take initiatives but also know when to ask questions;

  • Proactive and positive towards work, even under pressure;

  • Creative in problem-solving;

  • Discrete, as you will get exposure to sensitive materials and personal information;

  • A real team-player with good interpersonal skills;

  • Willing to learn other programs and tools used in Euroclear;

  • Interested in learning and tackling new responsibilities as role and experience grows.
